Tessera Viz — Evaluation Licence Agreement

Evaluator: the person or organisation that requested the evaluation and accepted this agreement ("you")

1. What this covers

This agreement covers the Tessera Viz evaluation kit: the software packages, type declarations, starter code, documentation and licence key we give you (together, the "Software").

2. What you may do

For the Evaluation Period only, you may:

1. install and run the Software on computers you control;
2. build prototypes that use it, for the sole purpose of deciding whether to buy a licence;
3. let your own employees and contractors who are working on that evaluation use it, provided they are bound by terms at least as strict as these.

3. What you may not do

You may not:

1. use the Software in production, or to serve end users, customers or the public;
2. share, publish, sell, sub-license, rent or lend the Software, the licence key or the documentation to anyone outside your organisation;
3. copy the Software except as needed for the evaluation;
4. reverse engineer, decompile, deobfuscate or disassemble the Software, or try to obtain its source code, except where applicable law expressly allows it despite this restriction;
5. remove, change, bypass or disable any licence check, licence key, notice or technical protection;
6. use the Software, or anything learned from it, to build a competing product;
7. use the Software against any law, including export-control and sanctions laws.

4. Evaluation Period

The Evaluation Period starts when we send you the licence key. It lasts for the number of days stated with your key, at most 31 days, unless we agree in writing to extend it. The licence key stops working at the end of the period. It works only on the computer you develop on (local addresses such as localhost), not on a server or website that others can reach. Each person and each organisation may receive one evaluation.

At the end, or earlier if we ask, you must stop using the Software and delete every copy, including the licence key. If you buy a licence, the purchase terms replace this agreement.

5. Ownership

We, and our licensors, own the Software and all intellectual property in it. You get only the rights written in section 2. Feedback you choose to give us may be used by us without any duty to you.

6. Confidentiality

The Software, the documentation, the licence key and any non-public information we share are our confidential information. You must protect them with at least reasonable care and must not disclose them, except to people allowed under section 2.3.

7. No warranty

The Software is an evaluation version, provided "as is" without any warranty, express or implied, including fitness for a particular purpose, merchantability and non-infringement, to the fullest extent the law allows.

8. Limitation of liability

To the fullest extent the law allows, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of data, profit or business, arising from the evaluation. Our total liability under this agreement is limited to 100 US dollars.

9. Ending this agreement

This agreement ends at the end of the Evaluation Period. We may end it earlier, with immediate effect, if you break it. Sections 3, 5, 6, 7, 8, 10 and the deletion duty in section 4 continue after it ends.

10. Law and courts

This agreement is governed by the laws of India. The courts of India have exclusive jurisdiction.

11. Acceptance

You accept this agreement by ticking the acceptance box on our request form or by installing or using the Software. We record the version you accepted and the date, time and IP address of acceptance.
